I. INTRODUCTION & BINDING EFFECT OF THE PROTOCOL

This document (“Protocol“) sets forth the standards of engagement and the terms governing your participation as a Node Provider within the GRID APEX Ecosystem. This ecosystem includes, but is not limited to, the digital properties operating under the domains apex.gridmotion.net, grid-apex.com, apex.travelinjava.com, trip.travelinjava.com, grid.travelinjava.com, and other related domains operated by GRID CORP. (collectively, “The Grid“).

Your participation in The Grid as a Node Provider is conditioned upon your unconditional acceptance of all protocols, conditions, and notices contained herein. By accessing, registering, or activating a Listing within The Grid, you agree to be bound by this Protocol and represent that you have read and understood all of its terms. If you do not accept this entire Protocol, you are not authorized to participate as a Node Provider.

Key Definitions:

• “GRID APEX”, “we”, “us”, or “our” refers to GRID CORP., a holding entity operating under its parent company, PT. Allokka Wonderfull Excellency Intl., a limited liability company established under the laws of Indonesia, with its legal address at Jl. Batikan 1 A, Yogyakarta, Indonesia 55161.
• “You” or “Node Provider” refers to the individual, company, or other legal entity registering to offer and execute a Manifestation of a Node through The Grid.
• “Node Content” refers to any information, text, graphics, photos, videos, pricing data, or other materials you upload to The Grid to represent your Node.
• “Listing”: The specific offering page you archive within The Grid for a Manifestation of a Node.
• “Manifestation of a Node”: The execution or embodiment of a Node’s function that you offer to a User Entity. This term supersedes the term “service” within The Grid’s ecosystem.

II. PURPOSE & REQUIREMENTS FOR PARTICIPATION

The GRID APEX Ecosystem is engineered to facilitate Node Providers in offering, managing, and executing Manifestations of a Node to a curated standard of excellence.

As a condition of your participation, you warrant that: (i) all information supplied by you to GRID APEX is true, accurate, current, and complete, and you will diligently update it; (ii) if you are an individual, you are at least 18 years of age; (iii) you are a legally registered entity and possess the full legal authority to offer the Manifestations of a Node you list and to be bound by this Protocol; and (iv) you possess all necessary permits, licenses, and insurance required by your local jurisdiction to operate.

GRID APEX reserves the right, but not the obligation, to conduct verification processes on your identity and legality. We reserve the right at our sole discretion to deny access or participation to anyone in The Grid, at any time and for any reason, including for violation of this Protocol.

III. GRID INTEGRITY PROTOCOL (PROHIBITED ACTIVITIES)

The infrastructure and data within The Grid are the property of GRID APEX. You agree not to: (i) Use The Grid for any commercial purpose outside the scope explicitly permitted by this Protocol. (ii) Non-Circumvention: Use information obtained from The Grid to solicit, induce, or conduct transactions for Manifestations of a Node with User Entities outside of The Grid’s architecture. Violation of this clause is deemed a material breach and will result in the immediate termination of the partnership. (iii) Access, monitor, or reproduce any data (other than your own operational data) using any automated means without our express written permission. (iv) Violate the restrictions in any robot exclusion headers or bypass other security measures. (v) Take any action that imposes an unreasonable or disproportionately large load on our infrastructure. (vi) “Frame,” “mirror,” or otherwise incorporate any part of The Grid into any other service.

V. NODE CONTENT LICENSE

By providing your Node Content to The Grid, you grant GRID APEX a non-exclusive, royalty-free, perpetual, transferable, and fully sublicensable right to: (a) host, use, reproduce, modify, distribute, and publicly display such Node Content worldwide; (b) promote and improve The Grid using your Node Content; and (c) use your name and/or trademarks in connection with such Node Content. You warrant that you possess all necessary rights to grant this license.

VI. NODE QUALITY STANDARDS PROTOCOL

A. Fundamental Commitment to Standards:

Your participation as a Node Provider is conditioned on your non-negotiable commitment to submit to, uphold, and consistently execute the quality standards set forth by GRID APEX. You agree that every Manifestation of a Node you deliver must reflect the goodwill and integrity of The Grid. A sustained failure to adhere to these standards constitutes grounds for the suspension or termination of your participation, as you are no longer aligned with the ecosystem’s fundamental architecture.

B. Qualitative Onboarding Standards (Your Pledge):

1. Spatial Authenticity: Your Listing must honestly and authentically represent the atmosphere, function, and limitations of its Space. Visual manipulation or misleading descriptions are strictly prohibited.
2. Clarity of Purpose: Every Listing must have a clear purpose (e.g., Sanctuary Node, Transition Node, Pursuit Node).
3. Operational Readiness: By activating a Listing, you warrant that all systems, staff, and facilities are in a state of prime readiness.

C. Qualitative Execution Standards (Your Proof):

1. Proactive Hospitality: You anticipate the needs of the User Entity.
2. Seamless Transition: Every point of interaction (e.g., check-in, pick-up) must be designed to be frictionless.
3. Sanctuary Integrity: You must safeguard the privacy, tranquility, and security of the User Entity as the highest priority.
4. Discretion & Privacy: All interactions with User Entities must be treated with the utmost level of confidentiality.

VII. COMMERCIAL MODEL & FINANCIAL FLOWS

A. Platform Architecture Fee (Commission):

For each successful transaction of a Manifestation of a Node completed through The Grid, GRID APEX is entitled to a service fee (commission) as your contribution to the infrastructure’s maintenance and development. The commission rate will be set forth in a separate commercial agreement or displayed on your dashboard.

B. Fund Flow Cycle (Payouts):

Payouts for the Manifestations of a Node you have executed (net of commission) will be processed and transferred to your registered bank account according to the cycle established by GRID APEX.

C. Cancellation & Fund Recalibration Protocol (Refunds):

You are required to establish a clear cancellation policy on each of your Listings, which must adhere to the minimum standards set by GRID APEX. The handling of refunds will follow the policy in effect at the time of booking.

VIII. DISCLAIMER OF LIABILITY & INDEPENDENT CONTRACTOR RELATIONSHIP

You are an independent contractor. This Protocol does not create a partnership, joint venture, agency, or employment relationship. You acknowledge that GRID APEX is solely a provider of a technology platform. You are fully responsible for the execution of your Manifestations of a Node.

IX. INDEMNIFICATION

You agree to defend and indemnify GRID APEX from and against any claims, causes of action, demands, losses, damages, or other costs (including reasonable legal and accounting fees) brought by third parties as a result of: (i) your breach of this Protocol; (ii) your negligence or violation of any law; or (iii) your execution of a Manifestation of a Node, including disputes with User Entities.

X. INTELLECTUAL PROPERTY RIGHTS

GRID APEX, the GRID APEX logo, and all other product or service names or slogans displayed on The Grid are registered and/or common law trademarks of GRID CORP. and/or its suppliers or licensors, and may not be copied, imitated, or used, in whole or in part, without prior written permission. All other trademarks, product names, and company logos mentioned are the property of their respective owners. All rights reserved.

XI. MODIFICATION, SUSPENSION, & TERMINATION OF THE PROTOCOL

GRID APEX may change this Protocol from time to time. Your continued use of The Grid after such changes will signify your acceptance. GRID APEX reserves the right to suspend your Listings or account if we receive serious complaints or detect suspicious activity. GRID APEX may terminate this Protocol and your partnership immediately and without notice if you commit a material breach (including Non-Circumvention), engage in illegal or fraudulent activities, or consistently receive negative reviews that damage the ecosystem’s reputation.

XII. JURISDICTION & GOVERNING LAW

This Protocol and any disputes arising from it shall be governed by and construed in accordance with the laws of the Republic of Indonesia. You hereby consent to the exclusive jurisdiction and venue of courts in Yogyakarta, Indonesia.

XIII. GENERAL PROVISIONS

• No joint venture, partnership, or employment relationship exists between you and GRID APEX as a result of this Protocol.
• If any part of this Protocol is found to be invalid or unenforceable, said provision shall be replaced by a valid, enforceable provision that most closely matches the intent of the original, and the remainder of the provisions shall remain in effect.
• This Protocol (and any other terms and conditions referenced herein) constitutes the entire agreement between you and GRID APEX.
• You may not assign your rights or obligations under this Protocol to any party without our consent.
• Any rights not expressly granted herein are reserved.
